Terms of Use

These Terms of Use (“Terms”) are a binding agreement between you and JAXILY LLC (“Kind Panel,” “we,” “us,” or “our”) governing your access to and use of the Kind Panel website, mobile applications, and related services (collectively, the “Service”). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What the Service is

Kind Panel helps you upload laboratory reports you already have, organize biomarkers into a longitudinal record, verify extracted values against your source reports, track how confirmed values change over time, learn what common biomarkers generally measure, and prepare questions for a healthcare professional.

The Service is a consumer organization and education tool. It is not a medical device, clinical decision support system, or telehealth platform.

2. Not medical advice — for reference only, at your own risk

THE SERVICE DOES NOT PROVIDE MEDICAL ADVICE AND IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL CARE. Nothing in the Service creates a doctor–patient, clinician–patient, or other healthcare provider relationship between you and JAXILY LLC, its employees, contractors, or affiliates.

Information provided by this service is for educational and organizational purposes only, is offered for general reference, and is not medical advice, diagnosis, or treatment.

You use this service entirely at your own risk. You are solely responsible for how you interpret, use, or act on any information shown in the service, and for all health and medical decisions. Always seek the advice of a qualified healthcare professional with questions about your health.

You agree that you will not rely on the Service — including organized lab values, trends, reference ranges, educational text, or automated extractions — to diagnose, treat, or make any health or medical decision. You will consult a qualified healthcare professional for questions about symptoms, conditions, test results, medications, supplements, or treatment.

The Service does not, and is not intended to:

• Diagnose, treat, cure, or prevent disease
• Provide physician review, clinical care, or a doctor–patient relationship
• Predict disease risk, biological age, or a health score
• Recommend medications, supplements, or treatments
• Replace consultation with a licensed healthcare professional

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You represent that the information you provide is accurate and that you will use the Service only for lawful personal purposes. The Service is offered to individual consumers; you may not use it on behalf of a third party unless we expressly authorize that use in writing.

4. Your account

You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity under your account. Notify us promptly at security@kindpanel.com if you suspect unauthorized access. We may suspend or terminate accounts that appear compromised, abusive, or in violation of these Terms.

5. Your content and permissions

“Your Content” means laboratory files, confirmed values, notes, and other materials you upload or enter into the Service. You retain ownership of Your Content. You grant us a limited license to host, process, display, and back up Your Content solely to operate, secure, and improve the Service as described in our Privacy Policy and Consumer Health Data Notice.

You represent that you have the right to upload Your Content and that doing so does not violate any law or third-party rights. Do not upload content you are not authorized to share.

6. Automated processing

Laboratory values are extracted using automated technology and may be incomplete or incorrect. Compare every extracted value with your original laboratory report before confirming it.

No physician or other healthcare professional reviews your information as part of this consumer service. See our AI disclosure for more detail on automated processing.

7. Acceptable use

You agree not to:

• Use the Service for emergencies or urgent medical decisions
• Misrepresent extracted or educational information as a medical diagnosis or treatment plan
• Probe, scan, or test the vulnerability of the Service without written permission
• Interfere with or disrupt the Service, other users, or our infrastructure
• Access the Service through automated means except through documented APIs we provide
• Reverse engineer, copy, or resell the Service except as permitted by law
• Upload malware, unlawful content, or content that infringes intellectual property rights

We may investigate and take action, including suspension or termination, for violations.

8. Subscriptions and payment

Some features may require a paid subscription. If you purchase a subscription, you agree to the fees, billing cycle, and cancellation terms presented at checkout. Payments are processed by third-party payment providers; we do not store full payment card numbers. Except where required by law, fees are non-refundable once a billing period has begun. You may cancel renewal according to in-product instructions; cancellation stops future charges but does not automatically delete Your Content unless you also request account deletion.

9. Privacy

Our collection and use of personal information and consumer health data is described in our Privacy Policy, Consumer Health Data Notice, and State Privacy Rights page. Those documents are incorporated into these Terms by reference.

10. Intellectual property

The Service, including its software, design, trademarks, and documentation (excluding Your Content), is owned by JAXILY LLC or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

11. Feedback

If you submit ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation, except where prohibited by law.

12. Third-party services

The Service may integrate with sign-in providers, payment processors, and other third parties. Your use of those services may be subject to their separate terms. We are not responsible for third-party services we do not control. A summary of subprocessors is available on our Subprocessors page.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” FOR REFERENCE ONLY, AND AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT EXTRACTED VALUES WILL BE COMPLETE OR ACCURATE.

WITHOUT LIMITING THE FOREGOING, WE MAKE NO REPRESENTATION OR WARRANTY THAT ANY INFORMATION IN THE SERVICE IS SUITABLE OR RELIABLE FOR ANY MEDICAL, CLINICAL, OR HEALTH-RELATED PURPOSE, OR THAT YOUR USE OF THE SERVICE WILL PRODUCE ANY PARTICULAR HEALTH OUTCOME.

Reference ranges vary between laboratories and testing methods. When available, we display the range supplied on your source report.

Changes over time do not by themselves establish a diagnosis, improvement, worsening, or treatment need.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU RELEASE JAXILY LLC AND ITS AFFILIATES FROM ANY CLAIMS OR LIABILITY ARISING FROM YOUR RELIANCE ON THE SERVICE FOR MEDICAL, CLINICAL, OR HEALTH-RELATED DECISIONS, OR FROM ANY ALLEGED FAILURE TO PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JAXILY LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING ANY CLAIM BASED ON ALLEGED MEDICAL HARM, DELAYED TREATMENT, MISINTERPRETATION OF LABORATORY VALUES, RELIANCE ON EDUCATIONAL CONTENT, OR ERRORS IN AUTOMATED EXTRACTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless JAXILY LLC and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from Your Content, your use of the Service, your reliance on the Service for health or medical decisions, or your violation of these Terms or applicable law.

16. Termination

You may stop using the Service at any time and may request account deletion through in-product tools or by contacting support@kindpanel.com. We may suspend or terminate access if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, sections that by their nature should survive will survive, including ownership, disclaimers, limitation of liability, and indemnification.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email before the revised Terms take effect. Continued use after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.

18. Governing law and disputes

These Terms are governed by the laws of the United States and the state in which JAXILY LLC is organized, without regard to conflict-of-law principles. Except where prohibited, you and JAXILY LLC agree to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising from these Terms or the Service.

19. General

• Entire agreement. These Terms, together with the policies linked above, are the entire agreement between you and us regarding the Service.
• Severability. If any provision is unenforceable, the remaining provisions remain in effect.
• No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
